1. Acceptance of Terms

By accessing the eSeats website (eseats.com), using our mobile applications, or purchasing tickets through our platform, you ("Buyer," "Customer," or "you") agree to be bound by these Terms and Conditions. If you do not agree, please do not use our platform. These terms constitute a legally binding agreement between you and eSeats.com.

2. Resale Marketplace Disclosure

eSeats operates as a secondary ticket resale marketplace. This means:

• eSeats does not own the tickets listed on our platform — tickets are sold by independent third-party sellers
• Ticket prices are set by sellers and may be above or below the original face value
• eSeats is not affiliated with, endorsed by, or sponsored by any venue, team, artist, promoter, Ticketmaster, Live Nation, or any primary ticket issuer
• Purchasing through eSeats is subject to these resale terms, not the original issuer's policies
• "gmgr eseats" is a search keyword used in advertising to help customers find our marketplace

3. All-In Pricing Policy

eSeats is committed to transparent, all-in pricing. The price displayed for any ticket listing is the final price you pay — including all fees. There are no additional service fees, order processing fees, or delivery surcharges added at checkout.

This all-in pricing model applies to all ticket purchases made directly through eseats.com and our mobile applications.

4. Buyer Guarantee

Every ticket purchased through eSeats is backed by our Buyer Guarantee:

• Valid Tickets: All tickets are guaranteed to be authentic and valid for entry to the event.
• Timely Delivery: Tickets will be delivered before the event. If delivery is delayed due to circumstances within our control, we will provide replacement tickets or a full refund.
• Accurate Listings: Tickets will be for the seats, date, and event listed. If there is a material discrepancy, we will make it right.
• Full Refund if Invalid: If tickets are invalid upon arrival at the venue and the issue is not resolved, you will receive a full refund.

5. Purchase Policy & Payment

All sales are final once an order is confirmed. By placing an order you agree to the following:

• You are purchasing from a third-party seller through eSeats as marketplace intermediary
• Payment is charged immediately upon order confirmation
• We accept major credit cards, debit cards, and other approved payment methods
• All transactions are processed through PCI-compliant, encrypted payment processors
• Currency displayed is USD unless otherwise stated
• Your billing information must be accurate and up to date

6. No-Refund Policy (Standard)

All ticket sales are final and non-refundable except in the following circumstances:

• The event is cancelled and not rescheduled — a full refund will be issued
• The tickets are proven to be fraudulent or invalid — a full refund or comparable replacement will be issued
• We are unable to deliver tickets before the event start time due to issues within our control
• The tickets provided materially differ from what was listed (wrong event, wrong date, wrong section)

In the event of a postponement or rescheduling, tickets remain valid for the new date. eSeats is not responsible for changes in event dates, times, or venues made by promoters or venues.

7. Ticket Delivery

Tickets are delivered via:

• Instant Electronic Delivery: PDF or mobile ticket delivered to your email immediately after purchase (most orders)
• Mobile App Transfer: Tickets transferred through official team or venue apps (e.g., Ticketmaster, SeatGeek)
• Will Call: Available for select events — pick-up instructions provided at time of purchase
• Physical Mail: Available for select international events with adequate lead time

Delivery method is specified on each listing. Free delivery applies to all electronic and mobile transfer orders.

8. Ticket Request Forms (Lead Generation)

When you submit a ticket request form on eseats.com or through our Bing advertising landing pages (including pages associated with the search keyword "gmgr eseats"):

• You are submitting an inquiry, not placing a confirmed order
• A ticket specialist will contact you with available options and pricing
• No charge is made until you confirm and approve a specific ticket offer
• You consent to be contacted by phone, email, or text regarding your request
• You may opt out of communications at any time

9. Seller Terms

Sellers listing tickets on eSeats agree to:

• Only list valid, authentic tickets they have the right to sell
• Deliver tickets as described in the listing
• Comply with all applicable laws regarding ticket resale in their jurisdiction
• Accept responsibility for chargebacks resulting from invalid or undelivered tickets

10. Prohibited Uses

You may not use eSeats to:

• Purchase tickets for the purpose of reselling at a profit on other platforms without permission
• Use automated bots, scrapers, or software to access our platform without authorization
• Attempt to defraud eSeats, sellers, or other buyers
• Violate any applicable law, including anti-scalping laws in your jurisdiction
• Create multiple accounts to circumvent purchase limits

11. Intellectual Property

All content on eseats.com — including the eSeats name, logo, design, text, and graphics — is the property of eSeats.com or its licensors. You may not reproduce, copy, or redistribute any content without our written permission. All team names, league logos, and artist names referenced on our platform are the property of their respective owners.

12. Limitation of Liability

To the maximum extent permitted by applicable law, eSeats's total liability for any claim related to a ticket purchase shall not exceed the amount paid for that specific transaction. eSeats is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, loss of data, or loss of enjoyment arising from:

• Event cancellations, postponements, or venue changes beyond our control
• Acts of nature, force majeure, or government actions
• Third-party seller failures not covered by our Buyer Guarantee
• Inability to attend an event due to personal circumstances

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict of law provisions. Any dispute shall be resolved through binding arbitration in Maricopa County, Arizona, except that either party may seek injunctive relief in court. You waive the right to participate in class-action lawsuits related to eSeats transactions.

14. Changes to Terms

eSeats reserves the right to modify these Terms at any time. Updated Terms will be posted with a new effective date. Continued use of the platform after changes constitutes acceptance of the revised Terms.
